TERMS OF USE AND PERFORMING BANK TRANSACTIONS VIA INTERNET/MOBILE BANKING BT Go

Chap. I. DEFINITIONS

The terms defined in this section shall have the following meaning when used in this Policy:

a)Bank - Transilvania Bank, which provides the CLIENT with IT services called BT GO Internet Banking and Mobile banking.

b) BT GO - Internet Banking service that facilitates the execution of banking operations via the INTERNET.

c) Mobile banking - service that allows connection with the bank through a smartphone/PDA with internet access compatible with JavaScript and CSS standards, for requesting financial information about bank accounts and performing banking operations.

d) Client - legal entity, having an account opened at the Bank and a user of the Internet and Mobile banking service BT Go.

e) User(s) – - Natural Person who is authorized by the client to perform banking operations through BT Go if the following conditions are cumulatively met:

  • these persons have declared to the bank a mobile phone number and an address of
    e-mail;
  • these persons have the rights to operate and authorize transactions on all the client's accounts (including the right to make requests or repayments of loans contracted by the client from Banca Transilvania).

f) ID – unique identifier transmitted by the bank used as a username for registration and authentication within the BT Go Internet/Mobile Banking service.

g) Internet/Mobile Banking BT Go Contract - the conditions for use and execution of banking transactions through Internet/Mobile Banking together with the bank's General Business Conditions.

h) User manual – set of instructions for using the Internet/Mobile Banking service provided to the Client free of charge, on electronic support through the application.

i) BT Go Contact Center - service offered by the bank to maintain relationships with clients and provide them with assistance and general information, through telephone, email, or other communication methods mutually agreed upon with clients.

j) SMS OTP (one time password) - the method consisting of the automatic transmission by SMS of temporary passwords with limited validity in time, passwords that will be used for the activation of the BT Go internet and mobile banking service.

k)Issuing and loading documents – documents issued by the client using the Internet/Mobile banking BT Go service: proof of payment and invoices; documents uploaded by the client using BT Go: supporting documents for operations carried out through BT Go, electronically received invoices based on which the necessary data for a money transfer can be pre-filled.

Chap. II. PREREQUISITES

2.1. For the use of the Internet/Mobile Banking service, the purchase of the necessary hardware and software (computer and smartphone with a functional operating system including an internet browser), the required licenses and ensuring the INTERNET connection, fall under the exclusive responsibility of the CLIENT.

The minimum versions required for access on BT Go are the following:

- Internet browsers: Chrome 68, Firefox 61.0.1, Firefox ESR 61.0.1 (52.9.0), Internet Explorer 11, Safari 11.1, Opera 55

- Mobile operating systems: iOS 16 or Android 9.0

- Desktop operating systems: Windows 7 SP1, Windows 8.1 build 9600, Windows 10 build 17134 (1803), OS X 10.13.6.

The application must be installed from the dedicated online stores (Google Play Store, App Store, and Huawei App Gallery). Due to the multitude of possible combinations between operating systems and internet browsers, as well as due to their different behavior depending on factors related to the way they are differentiated, the Bank does not guarantee full compatibility for each internet browser in current or future versions. The Bank will continuously seek to develop alternatives to make possible the connection with current and future operating systems and internet browsers other than those mentioned above. The Client will be informed about these updates through any of the communication channels available to the Bank.

2.2. The BANK has no obligation related to the installation, maintenance, repair, or setting of the equipment through which the CLIENT accesses the Internet/Mobile Banking service.

2.3. THE BANK has no liability in connection with any errors that may occur in the use of the Internet/Mobile Banking service and which are due to malfunctions, errors or due to non-compliance with the legal provisions regulating the use of services, in general, and telecommunications services, in particular.

2.4. The safe usage conditions of the service can be consulted on the Internet/Mobile Banking application page.

Chap. III. OBJECT OF THE CONTRACT. DURATION OF THE INTERNET/MOBILE BANKING BT Go CONTRACT

3.1. Carrying out banking operations via the internet, following the allocation by the BANK to the USER, access to the Internet and Mobile Banking service. The types of operations possible to carry out through BT Go are presented in the user manual.

3.2 This contract is concluded for an indefinite period, starting from the date on which the client accepts the Terms and Conditions (hereinafter also called "Terms") together with the first login to BT Go.

Chap. IV. ACTIVATION AND ACCESS TO THE INTERNET/MOBILE BANKING APPLICATION BT Go

4.1The user can download the Mobile Banking app on a smartphone or tablet by accessing the Apple Store or Google Play.

4.2. Opening a business relationship with Transilvania Bank through BT Go

Banca Transilvania allows the initiation of a business relationship by legal entities through the BT Go application, used exclusively on mobile devices, without the need for physical presence at the unit.

Accessing the functionality of opening an online account is allowed to the legal representative of the legal entity, provided that the eligibility criteria displayed in the application are met and involves completing the entire remote identification process and submitting the requested documents.

To initiate the procedure, the user must select the option "Become a BT Client" and express their agreement regarding:

  • the withholding of the commission related to obtaining the certificate of incorporation, for companies registered with the National Trade Register Office;
  • acceptance of the applicable BT Go Terms and Conditions;
  • performing remote identification, including the processing of biometric data;
  • processing of personal data, according to the Information Note.

Subsequently, the request is forwarded for analysis. Following the checks carried out by the Bank's representatives, the request may be approved, rejected or subjected to additional verifications.

The result of the analysis is communicated to the user through a notification sent in the BT Go application. In case of approval, the application will open automatically by accessing the notification, the user being invited to enter the security PIN and to configure the password for the new account.

Going through the process equates to the express acceptance of all the terms and conditions applicable to opening the business relationship through BT Go.

4.3. Activating the BT Go service

4.3.1. Foractivation from the BT Go mobile application:

The user downloads the BT Go mobile app by accessing the Apple Store, Google Play, or App Gallery.

After entering the identification data in the mobile application (in case of authentication through a token-type device, the User will enter in the "Password" field the code generated by this device), the user will receive an SMS OTP for identity confirmation.

Before activating the BT Go product, the user must express their agreement regarding the Privacy Policy and the Terms and Conditions of the service, by accepting them. After this step, the user must set up their own PIN code and, optionally, activate biometrics (fingerprint, faceID) for future authorization operations (access or authorization of operations).

4.3.2. If a user wants activation from the web page:

On the dedicated page https://goapp.bancatransilvania.ro/app/auth/login the identification data assigned by the bank are entered (in the case of authentication through a token-type device, the User will enter in the "Password" field the code generated by this device).

After entering the ID and the password, the user will open the notification received on the phone to confirm the access.

The user can use the web and mobile application in parallel.

4.4. Authentication in the BT Go Internet Banking web service: User access to Internet Banking is realized by entering on the electronic login page in the BT Go application, the identifier (user ID) assigned by the bank and the password that the user used/configured at the time of BTGo activation.

After entering the ID and password in the dedicated area on the WEB login interface, the user will be informed that a notification has been sent to the mobile device on which the BT Go mobile application is installed for accessing, verifying, and authorizing access to the WEB application.

The user will access the notification received on the mobile device, will authenticate in the mobile application using one of the desired methods (fingerprint, faceID, or PIN set at the time of activating the mobile application), will view the authentication request data for the WEB interface, and will authorize this authentication request.

4.5. Authentication in the BT Go Internet Banking service mobile version: User access in the Mobile Banking application is done by entering the PIN code set by the user at the time of activating the mobile application or by FINGERPRINT or FACEID activated either at the time of activating the BT Go mobile application or later.


Chap. V. COSTS, TAXES AND COMMISSIONS RELATED TO THE INTERNET/MOBILE BANKING CONTRACT BT Go

5.1. Banking operations carried out by the CLIENT through the BT Go Internet and Mobile Banking applications will be charged commissions and fees in accordance with the provisions of the List concerning the interests and fees applied by the Bank, which are made public at all its headquarters as well as on the bank's website: https://www.bancatransilvania.ro.

5.2. THE BANK is authorized to debit the client’s account with any fees and commissions owed to the BANK. Individually negotiated fees and commissions or those contained in individualized offers will prevail in case of conflict with the standard fees and commissions provided in the Bank’s List of fees and commissions.


Chap. VI. THE RIGHTS AND OBLIGATIONS OF THE PARTIES

6.1. BANK'S RIGHTS

6.1.1. The Bank is authorized by the Client to execute on behalf and in the account of the Client the instructions received through the Internet/Mobile Banking application, under the sole responsibility of the Client.

6.1.2. The Bank may refuse to perform the operations ordered by the CLIENT through the Internet/Mobile Banking service in one of the following situations: if the operations are suspicious, unlawful, cannot be properly justified, or if the CLIENT's account is blocked based on a court decision or another enforceable title, or under the conditions provided in the General Business Terms – legal entities.

6.1.3. The Parties agree that the Bank has the right, without any prior notice, to remove the Client from the BT Go Internet/Mobile Banking application if he/she is inactive for a period longer than 3 months.

In this case, by way of derogation from the provisions of art. 10.5., the contract shall terminate by law, without the intervention of the courts.

6.1.4. The Bank has the right to restrict the Client's access to the Internet/Mobile Banking BT Go application, in case the Client does not fulfill the obligation to present the Bank with supporting documents for all situations in which the documents are requested by the applicable legal regulations, within 10 calendar days from the payment date, until the moment when the respective documents will be presented.

6.1.5. The Bank has the right to block the Client's access to the BT Go Internet/Mobile Banking application when it has reasonable suspicions that the Client's identification/access elements in the application are being used by unauthorized persons and/or in a fraudulent manner (including in situations where there are suspicions of fraud through phishing attacks).

6.1.6 The bank ensures the possibility of creating, administering, and managing documents issued and uploaded using the BT Go Internet/Mobile Banking application.

6.1.7. THE BANK does not monitor or exercise any control over the client's documents that may be issued or uploaded through the BT Go Internet/Mobile Banking application.

6.2. CLIENT RIGHTS

6.2.1. The Client may order the Bank, through the Internet/Mobile Banking application, to perform certain types of operations, as they are or will be available in the application.

6.2.2. The Client may request the Bank to cancel a payment instruction erroneously sent for processing under the following conditions:

his/her payment instruction has not been accepted in the Bank's electronic clearing system;
payment according to the instruction is not guaranteed by a firm guarantee of the Bank;
the beneficiary of the order expresses explicit consent regarding the refund of funds if applicable;
technical errors of the BT GO application.

In the first three cases, the bank will have the right to charge expenses and fees for the cancellation of the payment order, according to the bank's list of fees and commissions.

6.2.3. The client may request specialized assistance from the Bank, as long as it exclusively concerns issues related to the removal or correction of any errors in the BT Go Internet/Mobile Banking application.


6.3. BANK'S OBLIGATIONS

6.3.1. The BANK undertakes to execute the transactions requested by the CLIENT, based on the data transmitted by the latter through the BT Go Internet/Mobile Banking service.

6.3.2. The BANK is obliged to inform the CLIENT, as soon as possible, whenever the ordered operation cannot be performed as a result of the violation of an applicable legal norm or due to other situations that place the BANK in the impossibility of executing the operation.

6.3.3. The BANK is obliged to verify whether the person performing the transaction has the status of an accepted CLIENT of the bank and to verify the correct use of the authorization elements by the CLIENT.

6.3.4. The BANK is obliged to provide the Client with a User Manual for the Internet/Mobile Banking application through the application or, at the express request of the client, on paper support.

6.4. CLIENT'S OBLIGATIONS

6.4.1. The client is obliged to notify the Bank in writing regarding any changes in its status, identification data, or changes of its legal representatives, immediately after such changes have occurred.

6.4.2. In situations where the legislation explicitly requires the presentation to the BANK of the original documents on the basis of which the transactions are executed, the bank will request the client to submit at the bank's counter the supporting documents, in original or in copy as appropriate, for all situations where the documents are requested by the applicable legal regulations.

On the date of conclusion of this contract, the client is obliged to submit to the BANK the original documents on the basis of which the transaction was carried out, within 10 calendar days from the moment of the order given by the CLIENT through BT Go.

6.4.3. The User commits to maintaining confidentiality regarding their identification elements granted by the BANK, including in the case of receiving "phishing" type messages. The User assumes full responsibility for disclosing their identification data to other persons, including as a result of "phishing" attempts, this representing a case of gross negligence on the part of the user.

6.4.4. The user must inform the BANK immediately upon noticing that an unauthorized person has become aware of their identification elements (including in cases where access data has been disclosed to third parties, as a result of "phishing" attempts).

6.4.5. Clientul se obligă să nu aducă modificări de niciun fel aplicației de Internet/Mobile Banking, să nu folosească imagini, texte, ecrane sau pagini ale aplicației în alte scopuri decât cele prevăzute în prezentul document.

Also, copying, reproducing, publishing or distributing by the Client of certain elements, such as those mentioned above, of the application are strictly prohibited, without the prior written agreement in this respect of the Bank.

6.4.6. The client is obliged to ensure in their current account the necessary and sufficient funds so that the Bank can charge the fees in order to carry out the banking operations ordered by them, through the Internet/Mobile Banking application.

6.4.7. The Client undertakes to use the services offered by the Bank, both financial services and services for issuing or loading documents, in full legality and knowing the legal provisions regarding the activity they carry out.

6.4.8. They commit to fully comply with the provisions related to copyright and personal data protection regarding the data entered into the application

6.4.9. The client assumes full responsibility for the creation, administration, management, accuracy, and legality of issued and uploaded documents and files transmitted, processed, or saved using the BT Go application.

6.4.10. The client will process personal data in accordance with the legal provisions in force and is obligated to comply with the legislation in the field, and the Bank cannot be held responsible for any kind of damage or violation of the rights of third parties.

6.4.11. The client understands and agrees with these Terms and Conditions.

Chap. VII. EXECUTING OPERATIONS

7.1. Payment orders subject to the legal provisions regarding payment services and for the amendment of certain normative acts are considered correctly executed with respect to the payment beneficiary if they are executed in accordance with the IBAN code provided by the client. In the event that the IBAN code provided by the client is incorrect, the Bank is not responsible for the non-execution or faulty execution of the payment operation.

7.2. Consent regarding the execution of payment orders is considered given in the case where, using confidential access data, the specific buttons for confirmation of transmission to the bank of any types of transactions are pressed, including scheduled and/or recurring payments transactions.

Revocation of consent can be made until the moment the order is received for processing by the bank.

7.3. The Bank ensures the introduction into the circuit of multilateral clearing operations of interbank payments of payment orders in lei from the Client depending on the moment of their receipt as follows (the abbreviations T, T+1 refer to working banking days, from Monday to Friday):

  • small value payments addressed to commercial banks in Romania (under 50,000 lei) processed until 1:00 PM on the working day T will be presented in the electronic clearing system on the same day; those processed after 1:00 PM will be presented in the electronic clearing on the working day T+1;
  • high-value payments addressed to commercial banks in Romania (equal to or exceeding 50,000 lei) or those marked as urgent, processed until 3:00 PM on the working day T will be presented in the electronic clearing system on the same day; those processed after 3:00 PM will be presented in the electronic clearing system on day T+1;
  • small value payments (under 50,000 lei) with the State Treasury as the beneficiary processed during day T until 1:00 PM will be presented for compensation on the same day; those processed after 1:00 PM will be presented in the electronic compensation system on day T+1;
  • high-value payments (over 50,000 lei) or those marked as urgent, having the State Treasury as the beneficiary, processed during day T until 3:00 PM will be presented for settlement on the same day; those processed after this time will be presented for settlement during day T+1;
  • interbank payments in lei processed on Saturday (non-banking working day) Sunday or on non-working days will be posted to the account and will be presented in the electronic clearing system with day T (the next banking working day);
  • Transfers between own accounts and intrabank lei payments are processed 24/7.

7.4. For payments in lei exceeding certain amounts, BANK employees will be able to request payment confirmation from representatives of corporate or individual clients, as applicable, by phone or email.

7.5. The Bank ensures the processing of foreign currency payments ordered by the Client and their introduction into the foreign currency bilateral settlement circuit depending on the time of their receipt as follows (the abbreviations T, T+1 and T+2 refer to working banking days):

  • interbank foreign currency payment orders, in emergency regime, processed during day T, between 09:00 - 18:00 will be settled with a maximum value date T+1;
  • foreign currency interbank payment orders processed during day T between 09:00-18:00 will be settled with a maximum value date of T+2;
  • foreign currency interbank payment orders received outside the above mentioned intervals will be processed 24 hours a day, 7 days a week and will be introduced into the settlement circuit on the next banking working day according to the first 2 previous points;
  • transfers between own accounts and intrabank payments, regardless of value, are processed 24/7.

7.6. The Bank will execute payment orders in EUR that fall under Regulation (EU) No 260/2012, namely to the member states of the European Union only with SHA commission and without urgency.

The bank will execute payment orders in EUR to beneficiaries from the member states of the European Union only with SHA commission.

7.7. For foreign currency payments exceeding certain amounts, BANK employees may request payment confirmation from representatives of legal entity or individual clients, as appropriate, by phone or email.

7.8. The bank ensures the processing of currency exchanges and currency conversions received by the bank, 24 hours a day, 7 days a week.

Currency exchanges and conversions received after 17:30 (Monday to Friday), Saturday, Sunday and on non-banking holidays will be processed up to the amount of 50,000 lei (equivalent in another currency).

7.9. CContracting credit facilities from BT Go.

The client has the possibility to contract credit products from the Bank, directly from the BT Go application, under the conditions, within the terms and in the manner in which they are presented in the user manual and in the dedicated sections of the application, and according to the clauses of the credit contract available at the time of contracting these credits.

7.10. Early repayments

By accepting the Terms of Use and executing banking transactions through Internet/Mobile Banking BT Go, the Client grants a mandate to the users designated by them for the use of BT Go, including granting them the right to make early repayments of the loans contracted from Banca Transilvania. An updated repayment schedule can be accessed by the Client, upon request, at any of the territorial units of the Bank and/or online, via BT Go. The Client undertakes to communicate the new repayment schedule to each Guarantor/Co-debtor. The legal representative of the client also declares that they have the right to subdelegate the representation right of the company to third parties and that they act within the limits of the law and the company’s constitutive act they represent.By accepting the Terms of Use and performing banking transactions through Internet/Mobile Banking BT Go, the Client/User exempts the bank from liability for operations carried out by designated users. Consequently, the bank shall not be responsible for any loss, damage, direct or indirect prejudice, including, but not limited to, loss of profit, data, or reputation, resulting from the Client/User's use of the functions available in BT Go.

In this regard, the Client/Users declare that they hold all the approvals of the statutory bodies necessary for these operations and that they are legally authorized for this purpose, according to the applicable legal provisions, the constitutive acts, and their own internal regulations.

7.11. Billing through the FGO solution

The bank provides legal entity clients, 24 hours a day, with an online invoicing solution offered by FGO.

This section will be available to corporate clients, BT Go users.

In case the BT Go user has never used the solution offered by FGO and wants to access the invoice section in BT Go Internet Banking, they will be required to create an FGO account. The account creation will be done by following the steps described on the screens in BT Go for this purpose, after the user accesses the "Invoices" section in the central dashboard of the application or by creating an account directly on the website www.FGO.ro.

In case the BT Go user uses the services of the solution provided by FGO, they will have the possibility through the Internet Banking application to connect to FGO with the credentials communicated by FGO for authentication.

Banca Transilvania through the BT Go Internet Banking application transmits the following data to FGO:

  • The client's VAT number (legal entity) that granted the user connection rights on their account in the BT Go application.
  • List of company CUIs that granted the user access and operation rights in BT Go;
  • List of the company's IBANs on the account to which the user has access and operating rights in BT Go.

Declarations:

By accepting the BT Go Terms and Conditions, the client grants a mandate to the users designated by them for the use of BT Go, granting them the right to connect on behalf of the company in FGO, and therefore agrees to assume responsibility that the company's data, respectively the unique identification code and the IBAN of their accounts opened at BT, will be transmitted to FGO.

The legal representative of the client also declares that he has the right to subdelegate the right of representation of the company to third parties and that he will act only within the limits of the law and the constitutive act of the company he represents.

By accepting these Terms and Conditions, the client exempts the bank from liability for operations carried out by the client within the FGO through designated users, the legal relationship in this case being exclusively between the client and the FGO. Consequently, the bank will not be responsible for any loss, damage, direct or indirect prejudice, including, but not limited to, loss of profit, data, reputation, resulting from the client's use of the FGO.



Chap. VIII. RESPONSIBILITY OF THE PARTIES TO THE INTERNET/MOBILE BANKING BT Go CONTRACT

8.1. BANK'S LIABILITY

8.1.1. THE BANK must keep, for at least 5 years from the date they were made, all records of the Client's transaction registrations, both those made domestically and abroad, which allow the Client, if necessary, to easily provide the information requested by the competent authorities.

8.1.2. In the event that the document issuance and download service is no longer available, for reasons attributable to the BANK, the Client can export their documents in PDF format.

8.1.3. The Bank will not be responsible for transactions requested by the Client through its representatives not notified to the Bank in accordance with the provisions of this contract.

8.1.4. In case of damages caused by improper use of the Internet/Mobile Banking application instructions, made available to the client through the application, the Bank's liability cannot be engaged.

8.1.5. THE BANK is not liable for loss of profit, material or moral damages suffered by the CLIENT.

8.1.6. The BANK is not responsible in the following situations:

  1. when due to the CLIENT'S negligence or that of correspondent banks the identification elements become known to other persons.
  2. through the communication network, WRONG data were sent to the BANK.
  3. the information system belonging to the client was accessed by unauthorized third parties or was hacked (intrusion into the system by other persons/"hackers").
  4. in case the CLIENT discloses the identification / access elements in the BT Go application as a result of "phishing" attacks or computer viruses on the client's devices.

8.1.7. The BANK is not responsible for the accuracy or truthfulness of any information, instructions, or messages originating from the CLIENT or third parties.

8.2. CLIENT'S LIABILITY

8.2.1. The client agrees to take over and assumes, from the date of acceptance of the clauses of the contract related to the BT Go service, all consequences and risks of carrying out transactions via INTERNET - using the BT Go Internet/Mobile Banking application - at his/her order.

8.2.2. The client is responsible for the consequences of the use of his identification elements within the BT Go application by a third party due to the client's fault and assumes all risks that would result from this.

8.2.3. The client is considered responsible for the accuracy and correctness of the information, instructions and other messages sent to the Bank.

8.2.4. The client will not use the account opened at the BANK for transactions related to services classified under gambling that do not meet the conditions provided by law, transactions related to the purchase of pornographic products and/or services (including video chat or other similar services), the purchase of weapons/ammunition without fulfilling the legal conditions, transactions with virtual currencies; in case of non-compliance with this requirement, the BANK may block access to the application and immediately terminate the business relationship without notifying the client.

8.2.5. The Client shall be fully responsible for losses and consequences arising from or in connection with the use of BT Go in the following situations:

  1. has disclosed the access data in BT Go to any other person.
  2. through the communication network, erroneous data was transmitted to the bank.
  3. the information system belonging to the client was accessed by unauthorized third parties or was hacked (intrusion into the system by other persons/"hackers").
  4. in case the client discloses the identification / access elements in the BT Go application as a result of "phishing" attacks or computer viruses on the client's equipment.
  5. acted fraudulently;
  6. did not take or did not apply the security measures indicated by the bank through this document, the user manual and through communications sent periodically;
  7. did not take reasonable measures to keep the device from which they access BT Go in safe conditions
  8. did not report to the bank a security breach, the loss of the electronic device from which it accesses BT Go, as well as the failure to report any unauthorized transaction as soon as reasonably possible after becoming aware of the breach, loss or that unauthorized transaction.

8.2.6. The Client shall be liable for all losses, damages, and reasonable costs and expenses incurred by the bank as a result of or in connection with the breach of the obligations incumbent upon the Client under these Terms, including infringement of intellectual property rights, except where they are due to the negligence or non-performance of obligations by the bank.


Chap. IX. SUSPENSION OF ACCESS RIGHTS IN THE INTERNET/MOBILE BANKING BT Go APPLICATION

9.1. Suspension of access rights in the application and the effective blocking of the User occurs if the User has lost/forgotten the password (notifying the Bank of this) or has entered an incorrect ID/password 5 times consecutively, or has entered the wrong PIN 5 times consecutively in the BT Go mobile application.

9.2. In all cases the client will have the possibility to request the Bank to unblock in compliance with the provisions regarding communications between the parties.

9.3. At the same time, the Client's access will be blocked whenever the Bank considers that the access data have been compromised, operations contrary to the law have been initiated, the documents requested by the bank through applicable legal regulations or other documents requested by the bank have not been presented, or whenever the operations are considered suspicious or in other cases regulated by the Bank's General Terms and Conditions of Business.


Chap. X. TERMINATION OF THE INTERNET/MOBILE BANKING BT Go CONTRACT

10.1. The contract terminates by law on the account closure date, due to reasons authorized by law, or at any time, by mutual agreement of the parties.

10.2. The Client may unilaterally terminate the contract, provided that the Bank is notified in writing, at least 30 days before the requested date for the contract termination. The Client may unilaterally terminate the contract only upon prior fulfillment of the obligation to fully pay all their debts towards the bank arising from this contract, without additional fees. For this purpose, the client will present themselves at the bank and will complete the appropriate form provided by the bank for this purpose.

10.3. The Bank may unilaterally terminate the contract provided that the Client is notified in writing at least 30 days prior to the requested termination date.

10.4. The bank may terminate the contract if:

  1. the client does not fulfill an obligation that is his responsibility;
  2. the client is in a state of bankruptcy or liquidation;
  3. the client notifies the Bank that, due to unforeseen reasons and because of economic circumstances or technical nature, it is impossible for them to continue fulfilling the contractual obligations.

10.5. The notification regarding the termination of the contract for the reasons mentioned in art. 10.4. shall be communicated to the contracting party, at least 30 days prior to the requested termination date. If within 30 days from the date of notification the notified party does not raise objections regarding the reason for termination invoked in the notification so that the contracting parties initiate amicable resolution and contract resumption, it is considered accepted and proceedings are carried out accordingly.

In the event that the contracting partner does not accept the reasons invoked for termination and amicable settlement of this situation was not possible, this dispute becomes a litigation which will be resolved in accordance with the provisions of Chapter XV, of this contract.

10.6. The Bank reserves the right to terminate the contract within no more than 30 days from the occurrence of circumstances that could not have been foreseen at the date of contract conclusion and that lead to the modification of contractual clauses to such an extent that the fulfillment of the contract would be contrary to the public interest, as well as at any time when it detects the client's non-compliance with the provisions of this contract.

10.7. In all cases provided above, the bank has the right to claim only the corresponding payment for the part of the contract fulfilled up to the date of its termination.

Ch. XI. CONFIDENTIALITY. PROCESSING AND PROTECTION OF PERSONAL DATA

11.1. The Parties undertake to impose the obligation of confidentiality on all their employees who have access to confidential information as a result of their activity.

11.2. The use of the BT Go Internet/Mobile Banking service involves the processing of some personal data. Details about this processing carried out by Banca Transilvania S.A. can be found in Information regarding the processing and protection of personal data in the context of providing the BT Go Internet and Mobile Banking service ("BT Go Privacy Policy") , available on the website www.bancatransilvania.ro and, on request, at any bank branch.

11.3. The Bank will maintain confidentiality and will not publish or disclose in any way any information or data regarding the client's account both during and after the termination of the contract.

11.3.1. The Bank will not allow access to information about the Client except to employees or persons/authorities who by the nature of their function have access to such data. The Bank will not allow its employees to disclose any data or information regarding the Client's account without the prior written consent of the Client.

Confidentiality restriction does not apply, if:

  • Information is requested by the judicial authority during a judicial procedure, in accordance with the law, and the disclosure is authorized by the Bank's Management;
  • Disclosure of such information protects the Bank against an imminent loss;
  • The client requests in writing the Bank to disclose the information;
  • In any other cases provided by law, which obliges the bank to disclose information of a banking secrecy nature.

Chap. XII. ASSIGNMENT OF THE INTERNET/MOBILE BANKING CONTRACT BT Go

12.1. Under this contract, the CLIENT is prohibited from assigning its rights arising from this contract to third parties, without the prior written consent of the BANK.

Ch. XIII. COMMUNICATIONS

13.1. Communications between the parties regarding the modification/update of the clauses of this contract, the change of settings can be carried out via application, mail, telephone, e-mail.

Chap. XIV. FORCE MAJEURE

14.1. Force majeure, as defined by law, exempts from liability the party invoking it. Force majeure means all circumstances that occur after the conclusion of the contract and consist of unpredictable and insurmountable events in accordance with Romanian law. The party invoking force majeure must notify the other party of this in writing, within 5 days from the date the event occurs.

Chap. XV. RESOLUTION OF CONFLICTS AND LITIGATION

15.1. This contract is governed by Romanian law, being in agreement and supplemented by the applicable legal regulations regarding banking activity, the rules concerning mandate, any legal norm regulating financial and currency discipline, as well as legislation for the prevention and punishment of money laundering.

Any dispute between the parties will be resolved amicably, and if this is not possible, by the competent court in the matter from Cluj-Napoca.

The client was informed that they have the possibility to address CSALB for the mediation of disputes regarding payment services

15.2. Specific provisions for BT Go users in the USA

If you are a USA user of the BT Go application (a user whose identity documents used in the identification/authentication process through the application were issued by the competent authorities of the United States of America), by accepting these Terms and Conditions you agree that:

(i) any complaints/dissatisfactions regarding the processing of your personal data (such as, but not limited to, biometric data) by the provider/third-party service provider of the identity verification services whose solutions are used within the aforementioned application (hereinafter referred to, for the purposes of this clause, as Onfido) will NOT be subject to collective lawsuits/actions submitted for resolution to courts in the territory of the United States of America;

(ii) any complaints/dissatisfaction regarding the processing of your personal data mentioned at point (i) will be subject to an individual arbitration procedure;

(iii) the resolution by means of arbitration of any complaints/dissatisfactions regarding the processing of your personal data mentioned in point (i) according to the provisions of point (ii) will be carried out in strict compliance with the arbitration procedure established by the provider/third party service provider of identity verification services (Onfido) as will be communicated by them.

Chap. XVI. INTERNET/MOBILE BANKING CONTRACT MODIFICATION

16.1. THE BANK has the right to unilaterally modify this contract during its term. The changes will be notified to the CLIENT through the BT Go Internet/Mobile Banking application, at least 30 days before the proposed date for the entry into force of the changes. The CLIENT has the right to unilaterally terminate the contract, without any additional cost, provided the intention is communicated before the entry into force of the notified changes. The 30-day term will not apply to contractual changes imposed by the application of new legal provisions, such changes applying depending on the effective date of the respective regulations. The bank's failure to receive a response from the client by the proposed date for the entry into force of the contract changes will be considered tacit acceptance by the client of the new contractual conditions.

Chap. XVII. FINAL PROVISIONS

17.1. The client is obliged to acknowledge the content of the legal provisions in force applicable to electronic support operations.

17.2. The BT Go Internet/Mobile Banking contract enters into force on the date the client accepts these Terms and Conditions related to the BT Go Internet/Mobile Banking application and is valid for the duration of the Client's bank account existence. Acceptance of the Terms and Conditions will take place at the moment of logging into BT Go, by checking the box corresponding to the expression of consent to contract.

17.3. The BT Go Internet/Mobile Banking Contract is supplemented by the provisions of BT's General Business Conditions applicable to legal entities. In case of discrepancy between the provisions of this contract and the General Business Conditions, the provisions of this contract shall prevail.
